These Terms and Conditions govern the relationship between TopSearch and its clients for the provision of Local Search Engine Optimization (SEO) services. By engaging our services, you agree to comply with these Terms. If you do not agree with any part of these Terms, you may not use our services.
1. Services
1.1 Description: TopSearch provides Local SEO services aimed at improving the online visibility and search engine rankings of the Client's business in relevant local searches.
1.2 Scope: The specific services provided by TopSearch will be outlined in the service agreement or proposal provided to the Client. Any changes or additions to the agreed-upon services must be documented in writing and approved by both parties.
1.3 Client Responsibilities: The Client agrees to provide TopSearch with access to necessary information, website resources, and cooperation required for the provision of services.
2. Payment
2.1 Fees: Payment for services will be outlined in the service agreement or proposal provided to the Client. Fees are payable according to the agreed-upon schedule.
2.2 Late Payments: Late payments of up to 2 weeks or more may be subject to a temporary suspension of services at the discretion of TopSearch.
2.3 Notice of Termination: In the event that the Client wishes to terminate the services provided by TopSearch, written notice must be given to TopSearch anytime during the paid months service. This allows TopSearch sufficient time to conclude ongoing work and wrap up any outstanding tasks related to the Client's project by the end of the month.
3. Pricing Adjustment
3.1 Review Period: TopSearch reserves the right to review and adjust the pricing of its services periodically to reflect changes in market conditions, service offerings, or operational costs.
3.2 Notice: In the event of a pricing adjustment, TopSearch will provide the Client with written notice of the proposed changes at least 2 months prior to the effective date of the adjustment.
3.3 Client Approval: The Client acknowledges that continued use of TopSearch's services after receiving notice of the pricing adjustment constitutes acceptance of the new pricing terms unless the Client notifies TopSearch in writing of their intention to terminate the engagement.
4. Confidentiality
4.1 Confidential Information: Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of the engagement.
4.2 Non-Disclosure: TopSearch will not disclose the Client's confidential information to third parties without the Client's prior consent, except as required by law.
5. Intellectual Property
5.1 Ownership: All intellectual property rights associated with the services provided by TopSearch, including but not limited to strategies, content, and reports, remain the property of TopSearch unless otherwise agreed upon in writing.
5.2 Client Content: The Client retains ownership of any content, materials, or intellectual property provided by the Client for use in the provision of services.
6. Limitation of Liability
6.1 Disclaimer: TopSearch makes no guarantees regarding the effectiveness or outcomes of the services provided. Results may vary depending on various factors beyond our control, including changes in search engine algorithms and market conditions.
6.2 Indemnification: The Client agrees to indemnify and hold TopSearch harmless from any claims, losses, damages, or liabilities arising out of the Client's use of our services or any breach of these Terms.
7. Termination
7.1 Termination: Either party may terminate the engagement upon written notice if the other party breaches any material term of these Terms and fails to remedy the breach within a reasonable period.
7.2 Effect of Termination: Upon termination, any outstanding fees shall become immediately due and payable, and both parties shall return any confidential information in their possession.
8. Amendments
8.1 Modification: TopSearch reserves the right to modify or update these Terms at any time. Any changes will be effective immediately upon posting on our website.
9. Governing Law
9.1 Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of New South Wales, Australia. Any disputes arising out of or relating to these Terms shall be resolved through arbitration or the courts of New South Wales, Australia. By engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
